Terms and conditions
- ACCEPTANCE OF TERMS
By accessing or using PRONTO, registering an account, or purchasing through the platform, users agree to these Terms. Those who do not agree must stop using the service. PRONTO may update these Terms, with notice where required. Material changes apply prospectively.
- PRONTO’S ROLE
PRONTO is primarily a marketing, event-discovery, promotional and transaction-facilitation platform. Independent participating venues and event organizers (“Partners”) create and fulfill their listings, offers, events, admissions, food, beverages and experiences. Unless expressly stated, PRONTO does not operate, supervise or control Partners or their premises. PRONTO may collect payments on a Partner’s behalf, but that does not by itself make PRONTO the provider of the underlying service. PRONTO remains responsible for its own legal obligations.
- LISTINGS AND AVAILABILITY
Partners control listing details, capacity, product availability, event dates, and operating conditions. PRONTO does not guarantee that third-party offers or events remain available or unchanged. Users should review specific listing conditions and verify arrangements with Partners. For prepaid transactions that cannot be fulfilled, applicable refund rights remain in effect.
- AGE REQUIREMENTS
PRONTO is intended for people age 21 or older. Users represent that they are at least 21. Venues may require valid, acceptable government-issued photo ID and impose lawful admission conditions. A purchase does not guarantee entry or alcohol service.
- ALCOHOL AND RESPONSIBLE DRINKING
PRONTO may advertise and, only where legally permitted, facilitate prepayment for offers supplied and redeemed by appropriately licensed establishments. PRONTO does not prepare, dispense or serve alcohol. Venues control identification checks, lawful sales, service, and refusal of service to underage or apparently intoxicated customers. Alcohol offers depend on applicable licensing rules; PRONTO can remove unlawful offers. Drink responsibly. Do not drink and drive; arrange safe transportation. PRONTO does not waive liability for its own unlawful conduct.
- PURCHASES AND PAYMENTS
PRONTO may process the full payment for tickets, admission, VIP experiences, food-and-beverage offers and promotional packages on behalf of Partners. Users authorize the displayed total charge, including disclosed fees and taxes. Partners remain responsible for delivering the purchased offering. Payment processors may have separate disclosed terms. PRONTO will honor any nonwaivable payment and consumer-protection obligations.
- FINAL SALES AND REFUNDS
ALL SALES ARE FINAL EXCEPT WHERE OTHERWISE STATED OR REQUIRED BY LAW. Ordinarily there are no refunds for changed plans, no-shows, late arrival, failure to redeem within properly disclosed periods, lack of proper ID, or denial due to the purchaser’s unlawful conduct. If an event is canceled and not held, the customer is eligible for a refund of the affected purchase, including applicable fees and taxes, unless the customer voluntarily accepts a lawful alternative. Material changes to a paid event, duplicate or mistaken charges, or Partners’ failure to honor valid prepaid purchases will be resolved under the applicable purchase terms and law. Approved refunds ordinarily return to the original payment method; banking timelines vary. PRONTO may investigate refund claims and fraud. Statutory refund and chargeback rights are unaffected.
- OFFER REDEMPTION
Each listing may include dates, participating locations, quantity limits, excluded products, reservations, and tax or gratuity conditions. Users must present required QR codes or confirmations. Codes may not be duplicated, resold without authorization, counterfeited, or fraudulently reused. Partners must honor valid, eligible purchases they agreed to provide.
- ADMISSION AND VENUE POLICIES
Partners independently manage lawful security checks, capacity, identification, conduct standards, and other disclosed entry rules. PRONTO does not control venue staff or security. If a valid prepaid ticket is improperly denied, the customer can contact PRONTO for transaction assistance.
- EVENT RISKS
Public events and nightlife involve risks, including crowd incidents, falls, accidents and the conduct of other guests. Users accept ordinary inherent risks to the extent permitted by law and should follow safety instructions. PRONTO is not responsible for harm caused solely by independent third parties where the law permits this limitation. This does not excuse PRONTO’s own legally actionable conduct.
- INDEPENDENT PARTNERS
Partners are responsible for their staffing, security, facilities, food and beverage preparation, product quality, required licenses, insurance and regulatory compliance. PRONTO does not guarantee third-party quality, satisfaction, venue safety, accessibility or attendees’ conduct. PRONTO may investigate or remove inaccurate or unlawful listings.
- PARTNER INDEMNIFICATION
To the extent permitted by law, Partners must defend and indemnify PRONTO and its personnel against third-party claims caused by the Partner’s misconduct, negligence, unlawful acts, inaccurate listings, failure to honor valid transactions, unsafe premises, improper alcohol service, or unauthorized intellectual property, excluding harm legally attributable to PRONTO’s own misconduct or breach. Additional obligations should be established in a separately executed Partner Agreement.
- PAYMENT DISPUTES
Users should contact PRONTO support concerning transaction problems. PRONTO may investigate with Partners and contest fraudulent or unsupported chargebacks. Users must not knowingly make false disputes. PRONTO may suspend accounts for verified fraud. Legal cardholder dispute rights remain intact.
- USER CONDUCT
Users must not engage in fraud, use stolen payment methods, abuse offers, falsify age or identity, harass others, circumvent security, infringe rights, or violate applicable laws. PRONTO may reasonably suspend accounts for violations subject to applicable consumer rights.
- CONTENT AND INTELLECTUAL PROPERTY
PRONTO retains rights in its proprietary branding, design and software. Partners keep rights in content they own and warrant authorization to submit it. Partners grant PRONTO a nonexclusive, royalty-free license to display and adapt submitted promotional content for operation and promotion of their listings and the platform.
- SERVICE AVAILABILITY
PRONTO does not guarantee uninterrupted service and may perform maintenance, change features or experience outages. Existing purchase and refund obligations remain enforceable.
- PRIVACY
PRONTO handles account, transaction and other personal information as described in a separate Privacy Policy and applicable law. Payment processors may independently process payment information. Transactional notices may be sent; marketing communications follow consent and opt-out requirements. Users must safeguard their credentials.
- LIMITATION OF LIABILITY
To the fullest extent allowed by applicable law, PRONTO is not liable for indirect, incidental, special, consequential, exemplary or punitive damages related to third-party offerings or the platform. For claims lawfully subject to a contractual cap, aggregate liability will not exceed the greater of $100 or the claimant’s payments through PRONTO over the prior 12 months. The cap does not limit mandatory refunds or liability for PRONTO’s fraud, intentional misconduct or other non-excludable liability.
- USER INDEMNIFICATION
To the extent lawful, users indemnify PRONTO against third-party claims arising from their fraud, unlawful conduct, material breach or intentional infringement of third-party rights, but not PRONTO’s own negligence, wrongdoing or breach.
- DISPUTES AND GOVERNING LAW
Users are encouraged to contact support before litigation. Virginia law governs except where mandatory consumer laws provide otherwise. Claims may proceed in courts having jurisdiction. These Terms do not impose mandatory arbitration or a class-action waiver; any such clause requires separate legal review and implementation.
- LISTING CHANGES
Partners may change prospective listings and must inform PRONTO of material changes. Existing paid transactions retain the applicable purchase terms and statutory protections. PRONTO may remove misleading or unlawful listings.
- FORCE MAJEURE
PRONTO is not responsible for delays caused by circumstances beyond reasonable control, but legally required refunds and obligations remain.
- SEVERABILITY
If a provision is unenforceable, remaining provisions continue as legally permitted.
- ENTIRE AGREEMENT
These Terms, applicable listing-specific purchase conditions and expressly incorporated policies govern platform use. More specific purchase conditions control where lawful.
